Article I NAME
The name of this organization
shall be Continental Divide Youth Hockey League (CDYHL).
The principle office
of the CDYHL shall be P O Box 8704, Aspen, Colorado 81612, or such other place
as may subsequently designated by the Member
Representatives.
Article II
PURPOSE
The purpose of this organization is to
operate a youth hockey league following the guidelines, rules and regulations of
USA Hockey and the state affiliate, Colorado Amateur Hockey Association (CAHA),
and to provide for the development of youth hockey within the state of
Colorado.
Article III PRECEDENCE
These By Laws and the Rules adopted here under, supplement Rules issued
by USA Hockey and CAHA and may place additional requirements, restrictions, and
penalties upon Member Associations, teams, players, officials and other
individuals participating in League
events.
No Members, Officers, or
Officials shall be in any manner liable for any act or omission of the CDYHL,
not for any loss, damage or injury whatsoever, suffered by or occurring to any
other Member Associations or persons. The CDYHL and its Officials assume no
responsibility for the injury to players under any
circumstances.
Article IV MEMBERSHIP
Section 1 MEMBERSHIP AND ADMISSION
Membership is open to any youth hockey
association in good standing with CAHA. Requests for membership shall be
submitted to a vote of the current Member Representatives, no later than the
July 1st prior to the start of the season for which participation is desired. A
two-

thirds (2/3) vote of a quorum is required for acceptance in to CDYHL.
Section 2. LOSS OF MEMBERSHIP
A. The CDYHL reserves the right to review,
investigate and determine appropriate
sanctions including the suspension or
termination of membership for any
violation of the By Laws or the Rules and
Regulations adopted here under or conduct member representatives regard as
determental to the league.
B. An Association that fails to regularly
participate in 50% of League meetings or events may be voted out of the league,
as noted in Article V, sec. 2.
Section 3. PROVISIONAL MEMBERS
The
CDYHL may admit teams at the Squirt,Peewee, Bantam and Midget, A, B,or C level
on a season basis. Any team seeking admission for a season must submit an
application to the CDYHL Member Representatives on later than September 1st of
the season they wish to participate in. The CDYHL shall review such applications
and shall approve or reject such applications within fifteen (15) days. The
CDYHL reserves the right to attach conditions to any application for a seasonal
team admission, including but not limited to the following:
1. Teams must
come from Associations in good standing with USA Hockey and
CAHA, and be
willing to abide by CDYHL rules and regulations.
2. Teams must pay CDYHL team
fees when invoiced.
3. Teams must be endorsed by their Associations board of
directors.
The team shall not be entitled to vote on any matter of the CDYHL.
A team must receive an affirmative vote of two-thirds (2/3) of the Member
Representatives of a Quorum.
Article V GOVERNING
AND VOTING
Section 1 GOVERNING
The CDYHL will be
governed by a Board of Member Representatives, as selected by each member
association of the CDYHL. Each member association is entitled to one (1) voting
representative. A member association may appoint a temporary representative in
the event the primary voting member is unable to attend the meeting. This
designation shall be submitted to the President electronically before the
meeting, or in writing to the League Secretary at the meeting.
Section 2
VOTING
Each Member Association in CDYHL will have the right to attend and
vote in all elections and meetings where business is conducted. Voting will be
by show of hands unless the Member Representatives decide upon a ballot. Voting
by proxy shall not be allowed. Each Member Representative may cast one (1) vote
for motions presented at board meetings. All decisions of the Member
Representatives shall be made by the majority of votes cast. Except for

Membership, Removal of Elected Officials and Amendments to the By Laws, the
affirmative vote of a simple majority present at a scheduled meeting shall be
required to carry any motion.
Votes for Membership, Removal of Elected
Officials, Removal of Member Associations and Amendments to the By Laws must
carry by a two-thirds majority vote at any scheduled
meeting where a quorum
is present, provided all Member Representatives are notified of such potential
vote ten (10) days prior to the meeting of the proposed vote.
Section 3
QUORUM
A quorum is present when a Member Representative with voting
privileges is present either in person, via telephone or via electronic
communication from two-thirds of the member
associations.
Article VI LEAGUE
OFFICIALS
Section 1 OFFICERS
CDYHL will elect
officers to ensure that its purpose is carried out and to handle the day-to-day
operations between scheduled meetings of the Member Representatives. All
Officers shall be elected for 1 year terms. Election of Officers will be held at
the annual meeting. All CDYHL Officers shall be volunteers, and as such agree to
serve without compensation of any kind from CDYHL. Any elected Officer may be
removed at any time for any reason as determined by a two-thirds (2/3) majority
vote of member representatives at any scheduled meeting where a quorum is
present and providing all CDYHL Officers are notified in writing at least ten
(10) days prior to the meeting of the proposed vote on removal.
General
responsibilities of the Officers are:
PRESIDENT
Shall perform
the normal functions of a president. Shall preside at all league meetings. In
the event of a tie, the president shall cast another vote to resolve the matter
in the best interest of the league. The president may call special meetings of
CDYHL member representatives, Officials or Committees as needed. In an emergency
or if a special meeting is impractical, the President may act on behalf of the
entire Member Representatives, subject to their ratification at the soonest
possible time.
VICE PRESIDENT
Shall fill in for the President
in his/her absence. Shall undertake special projects as request by the President
of by the majority of Member Representatives. In the event the President is
unable to complete his/her term of office for any reason, the Vice President
will become President and finish the specified term.

SECRETARY
Shall act as the record keeper for all league matters
except those assigned to the Treasurer. Shall keep minutes of all league
meetings, and handle correspondence as directed by the league
officers. If
the secretary is unable to attend a meeting, the person presiding at the meeting
will appoint someone to record the minutes and forward a copy to the
Secretary.
TREASURER
Shall keep a record of all monetary
transactions of the league, prepare a proposed budget report for approval of the
Member Representatives at the Annual Meeting, shall advise member
representatives of financial condition of league at regular
meetings.
DISCIPLINE COMMITTEE
The CDYHL shall have a
Discipline Committee consisting of three Member Representatives assigned by the
President, at least one of whom is an elected officer. It shall be the duty of
this committee to review and investigate matters of conduct, discipline and
appeal that arise from violation of League, CAHA or USA Hockey rules and
regulations and/or supplementary discipline.
Section 2
OFFICIALS
Member representatives shall select a League Schedule Coordinator
and five Age Division Coordinators (ADC’s) for one year terms. ADC’s will be
selected for each of the following age divisions: 18 & under, 14 &
under, 12 & under, 10 & under, 8 & under. The League Schedule
Coordinator and the League ADC’s shall be selected each year. All League
officials shall be volunteers and as such agree to serve without compensation
from the CDYHL
General responsibilities of Officials are as
follows:
LEAGUE SCHEDULER
Shall, by working with Member
Organization Schedulers, develop and maintain the league schedules. shall work
with Member schedulers, ADC’s to coordinate schedule changes during the season.
Shall work with hosting member associations to coordinate league playoff
schedules.
AGE DIVISION COORDINATORS- ADCs
Shall administer
the operations of their respective age classifications, enter statistics on the
league web site and perform all other duties described in CDYHL Rules and
Regulations. Decisions of the ADCs are subject to ratification by the Member
Representatives.
Section 3 VACANCY OF OFFICERS OR OFFICIALS
In the
event an Officer or Official, other than the President, is unable to complete
their term for any reason, the President will make a recommendation to the
remaining member representatives for action to be taken to fill the vacancy. In
the event the President is unable to

complete his/her term, the Vice President will become President and serve as
such until the next scheduled election. In the unlikely event that two or more
Officers or Officials simultaneously announce their inability to finish their
term, the member representatives will
hold a special meeting for the purpose
of filling the vacancies.
Article VII LEAGUE FEES
The operation
of this league will be primarily financed by membership fees. All membership
fees and due shall be calculated on a per team basis. Fees will be proposed and
voted on by member representatives no later than 30 days before the league
scheduling meeting. League team fees are payable upon receipt of invoice and
shall be paid promptly. Failure to pay fees promptly will result in fines and/or
loss of membership as outlined in the CDYHL Rules and
Regulations.
Article VIII MEETINGS
The President shall call at least monthly meetings of all CDYHL
Member Representatives. The minimum purpose of such meetings shall be to go over
previous activities, discuss upcoming activities and distribute the Treasurers
Report. Special Meetings of the member representatives may be called at any time
by the President or by any other Officers.
Meetings may be held
electronically (telephone conference call or Internet video link) if proper
notice is given to all member representatives at least ten (10) days prior to
such meeting specifying the forum of the meeting and the method to
participate.
All meetings of the CDYHL, except for Suspension Appeals,
shall be at all times open to the public. Member Representatives may request a
meeting be closed for discussion and voting at times it deems necessary.
Robert’s Rules of Order shall govern all CDYHL meetings unless otherwise
specially directed by the member representatives.
Article IX NONDISCRIMINATION
It is the intent
of CDYHL to assure equal opportunity and nondiscrimination for all hockey
players, coaches and other CDYHL members regardless of race, sex, religious
beliefs, national origin, age and/or disability status.

Article X DISSOLUTION
Upon dissolution, the
Officers will after paying or making provisions to payment of all
liabilities dispose of all assets to such organizations operated exclusively
for charitable, educational or religious or scientific purposes and qualify as
an exempt organization under 501(C)(3).
